ALOHA® NATIONAL MATH CHALLENGE CONTEST OFFICIAL RULES 2019

1. ELIGIBILITY:

The ALOHA® National Math Challenge (the “Contest”) is open to legal residents of the United States except where our contest is not permitted by the laws of Colorado & North Dakota, and as such no Entrants will be accepted in these states or in any other jurisdiction where this Contest is not permitted by applicable law. All registrants must be a parent or legal guardian of a child that is in grades one (1) through six (6) (“Eligible Child” or, collectively, “Eligible Children”). Also, due to state laws, legal residents of Arizona, Connecticut, Georgia, Illinois and Maryland may only participate if they are currently a parent or a guardian of a child that is enrolled in programs at an ALOHA Learning center and is currently in grades one (1) through six (6) and (“Eligible Child” or, collectively, “Eligible Children”). Employees (and their immediate families or those living in the same household) of Apogee Learning, LLC (“Sponsor”) or any of its affiliates, subsidiaries, divisions, parent and related companies, franchisees, suppliers, printers and advertising, promotional and judging agencies (collectively, “Sponsor Affiliates”) are not eligible to enter or win. Parents or legal guardians wanting their child to participate in the Contest may do so by registering an Eligible Child in accordance with paragraph 2 below before the Contest registration end date.

2. HOW TO ENTER:

Contest registration begins at 12:00 a.m. EST on December 15, 2018 and ends at 11:59 p.m. PST on February 15, 2019. Parents or legal guardians of an Eligible Child desiring to enter their child in the Contest (each, an “Entrant”) must register their child and pay a registration fee as follows:

Entrants may register and enter the Contest by visiting www.alohamindmath.com. Entrants may enter only once per Eligible Child and all entries must be received by 11:59 p.m. PST of the last date of registration for the Contest, i.e. February 15, 2019. The registration fee is nonrefundable.

3. PRIZES AND APPROXIMATE RETAIL VALUE:

There will be fifteen (15) prizes awarded: five (5) Prizes will be awarded for the Pre-Junior Challenge, five (5) prizes will be awarded for the Junior Challenge and five (5) prizes will be awarded for the Senior Challenge (collectively, the “Prizes”). The Prizes consist of the following:

The approximate total retail value of the Pre-Junior Challenge Prizes is $9,250. The approximate total retail value of the Junior Challenge Prizes is $13,750. The approximate total retail value of the Senior Challenge Prizes is $20,000. The total value of all Prizes to be awarded is approximately $45,000. Please note that a winning Entrant is not required to purchase additional goods or services, pay any money or submit to a sales promotion effort to receive a Prize.

Prize Winners will be selected based solely on the Eligible Child’s test performance in the final round of the Contest. All Entrants with an Eligible Child will be permitted to compete in the Preliminary Round, which will be conducted on Saturday, March 9, 2019 at regional locations to be announced. Entrants with an Eligible Child that has a test score in the top 10% of all test scores from the Preliminary Round for each of the Pre-Junior Challenge, Junior Challenge, and the Senior Challenge categories will advance and 6466229 – 2 – compete in the Semifinal Round, to be conducted on Saturday, April 13, 2019 at regional locations to be announced. Entrants with an Eligible Child that has a test score in the top 10 test scores from the Semifinal Round in each the Pre-Junior Challenge, Junior Challenge, and the Senior Challenge categories, with exceptions to be made within each respective category in the case of a tie, will qualify for the Final Round, which will take place on Saturday, May 11, 2019 in Edison, New Jersey. Final Round Entrants and their Eligible Children must travel to Edison, New Jersey to compete in the Final Round.

Testing dates are subject to change. See our website, www.alohamindmath.com, or your local participating ALOHA Learning Center for details. Winning Entrants (“Winners”) will be notified at the end of the Final Round on May 11, 2019. All federal, state, and local tax liabilities are the sole responsibility of the Winner. No transfer or substitution for the Prizes is permitted, except by Sponsor in its sole discretion. Winning Entrants will be required to complete and return an IRS W-9 form (i.e. Request for Taxpayer Identification Number and Certification) to Sponsor.

All other expenses relating to acceptance of Prizes that are not explicitly stated herein, including but not limited to hotel accommodations, taxes, meals, beverages, alcoholic beverages, gratuities and transportation to and from airports and or for travel within the Edison, New Jersey area, are the responsibility of Entrant and not the Sponsor.

Complete terms and conditions of the Final Round will be furnished at the time Semifinal Round winners are announced. Except where prohibited by law, Entrants will be required to sign, have notarized and return to Sponsor prior to the Final Round, a release of liability and a publicity release in favor of Sponsor. All details of prizes not specified herein shall be determined solely by Sponsor. Travel costs may vary depending on the time of booking and the distance between Entrant’s home and Edison, New Jersey.

4. PRIZE CONDITIONS:

No substitution for any prize will be permitted. If necessary due to unavailability of the Prize, a prize of equal or greater value will be awarded at the discretion of the Sponsor. Prizes are not transferable or assignable, except with the consent of Sponsor in its sole discretion. Entrants (who must be a parent or legal guardian of an Eligible Child) will be required to execute and return an Affidavit of Eligibility and Publicity/Liability Release within fifteen (15) days of issuance. Failure to return all required documents in this time period may result in the Winner being disqualified and an alternate Winner selected. If a prize notification is returned to Sponsor as undeliverable or if an Entrant or an Eligible Child is found to be ineligible for any reason or declines acceptance of a Prize for any reason, an alternate Winner will be selected. By entering this Contest and/or accepting a Prize, Entrant hereby consents (except where prohibited by law) to the reasonable use by Sponsor of their and their child’s photograph, voice, likeness and/or image, hometown address, contents of the entry form and the name and age of the Winners and Entrants’ Eligible Children without any further compensation for any future promotional activity related to this Contest.

In the event of a tie in any round, Sponsor may break the tie by selecting the tied Entrant with an Eligible Child that completed the test for that round in the shortest time period. The First, Second, Third, Fourth and Fifth Place Prize Winners in each category shall be awarded to the Entrant whose Eligible Child has one of the five (5) highest scores in the Final Round. In the event a tie remains for the First, Second, Third, Fourth or Fifth Prizes, Winners shall divide the Prize amounts evenly among the tying Winners.

5. CONDUCT OF PARTICIPATION:

By entering the Contest, Entrant affirms that he or she has read and agrees to abide by the Official Contest Rules and the decisions of the judges. Sponsor reserves the right to disqualify any Entrant acting, or who’s Eligible Child has acted, in violation of the Official Rules or found tampering with the entry process or with the operation of the Contest or the website. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE 6466229 – 3 – RELATED TO SPONSOR OR THE CONTEST OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

6.PRIVACY POLICY:

We may collect personal data from you which may be used for a variety of purposes including to deliver the service or product you requested, to enable billing and shipping, to provide you with information about other products and services, to improve our product offerings, to administer and troubleshoot our systems, to enforce our terms of service, and to comply with applicable laws. We will not share your personal information with third parties except as specified in this paragraph 6 or as may be required by law. We may share your personal data with third party service providers to provide you with the services we offer you through our website; to facilitate registrations; to provide technical support or to provide other services to us. We may share some or all of your personal data with Sponsor Affiliates or potential lenders or acquirers of a Sponsor Affiliate, in which case we will require such persons to honor this paragraph 6. If your activities on our website result in the use of a third party’s website or services, then that third party’s privacy policy will govern its use of your information, and you should read that third party’s privacy policy.

7. LIMITATIONS OF LIABILITY:

Sponsor and each of its affiliates, subsidiaries, parent corporations and franchisees, and their respective officers, managers, members, employees and agents, are not responsible for any incorrect or inaccurate entry information, theft, tampering, destruction, or unauthorized access to, or alteration of entries; printing or other errors; and any entries or mail which are late, lost, delayed, incomplete, misdirected, stolen, mutilated, illegible, postage due or any combination thereof. Sponsor reserves the right to modify, suspend or terminate the Contest or testing dates in the event that it becomes necessary due to circumstances beyond Sponsor’s control. In the event the Contest is terminated early, Winners will be selected from all eligible entries received at the time of termination.

8. RELEASE OF LIABILITY:

By participating, Entrants hereby release, discharge, indemnify and hold harmless Sponsor and each of its respective affiliates, subsidiaries, parent corporations, franchisees and their officers, directors, employees, representatives and agents from and against any claims made by Entrant on its behalf or on behalf of an Eligible Child, or any other third parties related in any way to the operation of this Contest, as well as any other claims, damages or liability due to any injuries, damages or losses (whether alleged, threatened, or actual) to any person or property of any kind resulting in whole or in part, directly or indirectly, from participation in any Contest-related activity or participation in this Contest.

9. GOVERNING LAW:

The Contest is governed by the laws of the United States of America and by the laws of the State of Maryland. By entering the Contest, all Winners and Entrants hereby irrevocably consents to the exclusive jurisdiction and venue of the federal and state courts located in Montgomery County, Maryland for any matter arising out of or relating to the Contest, except that in actions seeking to enforce any order or any judgment of such federal or state courts located in Maryland, such personal jurisdiction shall be nonexclusive.

10. AGREEMENT TO ARBITRATE:

Except as provided in paragraph 10 below, Entrant and Sponsor agree to arbitrate any controversy, claim or dispute between them arising out of or in any way related to the Contest, including claims for violation of any local, state or federal law, statute, regulation or ordinance or common law. The arbitration will be conducted in Potomac, Maryland by a single neutral arbitrator and in accordance with the American Arbitration Association’s (“AAA”) then current rules for resolution of commercial disputes. The arbitrator shall have the power to enter any award that could be entered by a judge of the trial court of the State of Maryland, and only such power, and shall follow the law. In the event the arbitrator does not follow the law, the arbitrator will have exceeded the scope of his or her authority and the parties may, at their option, file a motion to vacate the award in court. The parties agree to abide by and perform any award rendered by the arbitrator. Judgment on the award may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing, either party may seek preliminary, injunctive, or declaratory relief in a court of law.

11. CLASS ACTION WAIVER:

Entrant and Sponsor agree to resolve any dispute that is in arbitration on an individual basis only, and not on a class, collective action, or representative basis (“Class Action Waiver”). The arbitrator shall have no authority to consider or resolve any claim or issue any relief on any basis other than an individual basis. The arbitrator shall have no authority to consider or resolve any claim or issue any relief on a class, collective, or representative basis. Notwithstanding any other provision of these Rules or the AAA arbitration rules and procedures, disputes regarding the enforceability, revocability or validity of the Class Action Waiver contained in this paragraph 11 may be resolved only by a civil court of competent jurisdiction and not by an arbitrator. In any case in which (a) the dispute is filed as a class, collective, or representative action and (b) there is a final judicial determination that all or part of the Class Action Waiver unenforceable, the class, collective, and/or representative action to that extent must be litigated in a civil court of competent jurisdiction, but the portion of the Class Action Waiver that is enforceable shall be enforced in arbitration.

12. WINNERS LIST:

Complete terms and conditions of the Final Round will be furnished at the time Semifinal Round winners are announced.  Except where prohibited by law, Entrants will be required to sign, have notarized and return to Sponsor prior to the Final Round, a release of liability and a publicity release in favor of Sponsor and to provide Sponsor with written authorization of Eligible Child’s travel.  All details of prizes not specified herein shall be determined solely by Sponsor.  Travel cost estimates may vary depending on the time of booking and the distance between Entrant’s home and Edison, New Jersey.
